Affiliate Disclaimer

These Affiliate Program Terms & Conditions (“Agreement”) govern your participation in the Peptide Therapy RX Affiliate Program (“Program”). By applying to or participating in the Program, you (“Affiliate,” “you,” or “your”) agree to be bound by this Agreement and all applicable laws and regulations.

If you do not agree, do not apply or participate.

1. Program Overview

Peptide Therapy RX (“Company,” “we,” “us,” or “our”) operates a medically supervised telehealth service that offers GLP‑1 weight loss programs, peptide therapy, hormone optimization, and related memberships. As an Affiliate, you promote our services and earn commissions on qualifying referrals made through your unique tracking links under the structures and rules described here.

This Program may include one‑tier and two‑tier commissions (commissions on your own referrals and, where enabled, on referrals generated by sub‑affiliates you recruit).

2. Eligibility & Enrollment

2.1 Minimum requirements

You must be at least 18 years old.

You must have the legal capacity to enter into this Agreement.

You must comply with all applicable federal, state, and local laws, including telehealth, advertising, and privacy regulations.

2.2 Application approval

All applications are subject to our review and approval in our sole discretion.

We may reject any application for any reason, including if your content or business is inconsistent with our brand, is misleading, illegal, or otherwise inappropriate.

2.3 Prohibited applicants
We may refuse or remove affiliates whose sites, channels, or behavior involve, for example:

Illegal activities or promotion of prescription drugs without medical oversight.

Hate, violence, harassment, or adult/explicit content.

False health claims, unsafe medical advice, or non‑compliance with our policies.

3. Affiliate Accounts & Access

3.1 Account creation
Upon approval, we will create your Affiliate account in our affiliate manager (e.g., GoHighLevel) and provide login access to your affiliate dashboard.

3.2 Security
You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. Notify us immediately of any unauthorized use.

3.3 Sub‑Affiliate / Two‑Tier Structure
Where enabled, you may receive one or more Sub‑Partner Sign‑Up Links that allow you to refer other affiliates into the Program. Approved sub‑affiliates are associated to you for commission purposes based on our current two‑tier settings, which we may modify at any time.

4. Tracking, Qualified Referrals & Attribution

4.1 Tracking

You will be provided unique referral links for B2C (individual) and, where applicable, wholesale referrals.

Referrals are tracked via cookies and/or internal identifiers when a prospect uses your link and completes the required form/purchase in the same browser/session or within our configured cookie window.

4.2 Qualified referrals
A “Qualified Referral” is a customer or wholesale client who:

Arrives via your unique affiliate link or is manually attributed to you in our system;

Successfully completes our intake and approval process;

Purchases an eligible product or subscription; and

Remains in good standing (no fraud, chargeback, or refund beyond the allowed period).

4.3 Attribution disputes
If multiple affiliates claim credit for a customer, we will determine attribution at our sole discretion based on system data. Our decision is final.

5. Commission Structure & Payments

5.1 Commission tiers
Unless otherwise stated in your specific agreement, the default recurring commission structure is:

Starter Tier: 10% recurring commission on eligible subscription/program revenue.

Growth Tier: 20% recurring, unlocked at 5+ active subscribers.

Elite Partner Tier: 30% recurring, unlocked at 25+ active subscribers and may include additional co‑branding opportunities.

We may adjust tiers, rates, and qualification criteria prospectively with notice.

5.2 Two‑tier commissions
If the two‑tier feature is active, you may earn additional commissions on qualifying sales generated by sub‑affiliates you recruit, at the percentage and rules we define in the affiliate dashboard or separate documentation. We may change or discontinue two‑tier payouts at any time on a go‑forward basis.

5.3 Commissionable products
Commissions are typically paid on:

GLP‑1 weight loss programs and related telehealth subscriptions.

Peptide therapy programs.

Hormone optimization programs.

Recurring maintenance memberships.

Certain products, fees, or promotions may be excluded or paid at different rates; these will be communicated in your dashboard or program materials.

5.4 Payment schedule & threshold

Payouts are made monthly, on Net‑30 terms (approximately 30 days after the close of each month).

You must meet the current minimum payout threshold (e.g., $100) to receive payment; unpaid balances roll over to the next period.

Payments are made via ACH, Wise, or another approved method you set up in your profile.

You must provide accurate payment details and any required tax forms (e.g., W‑9/W‑8BEN). We are not liable for payments delayed or lost due to incorrect information.

5.5 Reversals, refunds, and chargebacks

Commissions are not paid on fraudulent transactions, test transactions, or orders that are refunded or charged back.

We reserve the right to reverse or withhold commissions if a customer cancels within the first 30 days, or if we suspect abuse, fraud, or policy violations.

We may offset future commissions against past overpayments, chargebacks, or adjustments.

5.6 Self‑referrals
You may not receive commissions on purchases made primarily for your own use (self‑referrals), unless explicitly permitted in writing.

6. Marketing, Content & Compliance

Because we operate in healthcare/telehealth and peptide therapy, strict compliance is required.

6.1 No medical practice or clinical advice
You are not authorized to:

Provide medical advice, diagnoses, or treatment;

Practice medicine or imply that you are acting on our behalf as a healthcare provider;

Modify or override instructions provided by our clinicians.

All clinical decisions are made solely by our licensed providers.

6.2 No medical or outcome claims
You must not:

Claim that our services or peptides “cure,” “treat,” “diagnose,” or “prevent” any disease;

Guarantee specific results (e.g., “lose 40 lbs in 30 days”);

Represent peptides or compounded medications as “FDA‑approved.”

Only use approved benefit language and materials we provide or pre‑approve in writing.

6.3 Required disclosures
You must clearly disclose your affiliate relationship in all promotional content, in compliance with FTC guidelines and applicable law (e.g., “I am an affiliate and may earn a commission if you sign up through my link.”).

6.4 Brand guidelines & assets

Use only our approved logos, images, and marketing copy found in the affiliate media library or otherwise provided by us.

Do not alter our trademarks or create confusingly similar marks.

We may require you to modify or remove any content that misuses our brand or misrepresents our services.

6.5 Prohibited marketing practices
You may not engage in:

Spam email, unsolicited bulk messages, or SMS without proper consent.

Misleading or deceptive advertising (fake scarcity, false testimonials, hidden terms).

Paid search bidding on our brand names or domains (or common misspellings) unless expressly permitted.

Use of cookie stuffing, forced clicks, or other unethical tracking methods.

Advertising on websites that promote illegal activity, hate, adult content, or other inappropriate material.

6.6 Use of pricing and materials
You may use our B2C and wholesale pricing guides solely for the purpose of accurately describing our current pricing to prospects. You may not publish internal pricing sheets publicly if we designate them as confidential.

7. Data Protection & Privacy

7.1 Customer data
All customer, patient, and lead data collected through our systems is owned by the Company. You will not receive protected health information (PHI) and must not request or store any medical records.

7.2 HIPAA & privacy
You must avoid collecting or transmitting sensitive health information outside of our secure systems. To the extent you handle personal information, you agree to follow applicable privacy and data protection laws.

7.3 Confidentiality
You agree to keep non‑public information about our pricing, operations, systems, and customers confidential and to use it solely for your participation in the Program.

8. Relationship of the Parties

You are an independent contractor, not an employee, partner, franchisee, joint venturer, or agent of the Company. You have no authority to bind us to any agreement or make representations on our behalf.

You are solely responsible for your own business operations, expenses, licenses, insurance, and taxes.

9. Term & Termination

9.1 Term
This Agreement begins upon your acceptance into the Program and continues until terminated by either party in accordance with this section.

9.2 Termination by either party

You may terminate this Agreement at any time by written notice or by closing your affiliate account.

We may suspend or terminate your participation at any time, with or without cause, by notice to you.

9.3 Termination for cause
We may immediately suspend or terminate your account (and withhold or cancel commissions) if we determine, in our sole discretion, that you:

Violated this Agreement or our program policies;

Engaged in fraud, abuse, or unlawful conduct;

Jeopardized our regulatory standing, clinical relationships, or reputation.

9.4 Effect of termination
Upon termination:

You must stop using our brand assets and remove affiliate links from your sites and channels.

Eligible unpaid commissions accrued prior to termination (and not subject to reversal) will be paid on the next regular payout cycle, subject to the minimum threshold.

Any rights that by their nature should survive (e.g., confidentiality, IP, limitation of liability) will remain in effect.

10. Intellectual Property

All intellectual property, including our trademarks, logos, content, websites, and marketing materials, remains the exclusive property of the Company. You receive a limited, revocable, non‑exclusive, non‑transferable license to use approved materials solely in connection with the Program and in compliance with this Agreement.

11. Disclaimers & Limitation of Liability

11.1 No guarantee of results or income
We do not promise that you will achieve any specific results, income level, or number of referrals through the Program. Your success depends on your own efforts, audience, and marketing.

11.2 Medical disclaimer
Information about peptide therapy, GLP‑1s, or hormone optimization provided in our materials is for educational purposes only and is not a substitute for professional medical advice, diagnosis, or treatment. All medical decisions are made by licensed providers and individual results may vary.

11.3 Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for any lost profits or revenues, arising out of or related to this Agreement or the Program, even if advised of the possibility of such damages.

Our total cumulative liability to you for any claim related to the Program will not exceed the total commissions paid to you under this Agreement in the six (6) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Peptide Therapy RX, its owners, officers, employees, contractors, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

Your breach of this Agreement;

Your marketing activities or content;

Your violation of any law or regulation;

Your negligence, misconduct, or infringement of third‑party rights.

13. Modifications

We may update or modify this Agreement and/or Program details at any time. Changes will be effective when posted on our website or communicated via email or within the affiliate dashboard. Your continued participation after changes become effective constitutes your acceptance of the updated terms. If you do not agree, you must stop participating and terminate your account.

14. Miscellaneous

Entire Agreement: This Agreement constitutes the entire understanding between you and us regarding the Program and supersedes all prior agreements and communications.

Severability: If any provision is held invalid or unenforceable, the remaining provisions remain in full force.

No waiver: Our failure to enforce any provision is not a waiver of that provision.
